General Meeting of Shareholders (GMS)

GMS is one of the Company’s organs which constitutes a strategic discussion and decision-making forum for the shareolders of the Company, pertaining to the Company’s interest pursuant to the Articles of Association of the Company and prevailing laws and regulations.

As the Company’s organ, GMS holds all authorities which are not granted to the Board of Commissioners and Board of Directors within the limitation as set out in the Articles of Association of the Company and prevailing laws and regulations. The GMS has, among others, authorities to approve amendments to the Articles of Association, appoint and dismiss members of the Board of Commissioners and the Board of Directors, ratify or reject the Company’s Annual Report, appoint the public accountant, and decide the allocation of profit.

There are 2 (two) types of GMS of the Company, i.e. (i) the Annual General Meeting of Shareholders (Annual GMS) which is held annually at the latest of 6 (six) months as of the end of the last financial year and (ii) the Extraordinary General Meeting of Shareholders (Extraordinary GMS) which can be held at any time deemed necessary.
